TERMS AND CONDITIONS

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Attendee," "Member," "you," or "your") and VSF Connects Incorporated, a California nonprofit public benefit corporation (Tax ID 87-2007367) operating as Vegan Creator Con ("VCC," "we," "us," or "our").

By purchasing tickets, registering for events, joining our community membership, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Eligibility

You must be at least 18 years of age to purchase tickets, attend our events, or join our community membership. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.

3. Event Tickets

3.1 Ticket Types and Pricing

We offer various ticket types for our events, including Creator Pass, All-Access Pass, and Connector passes for brands and nonprofits. Ticket prices and inclusions are as displayed at the time of purchase and may vary based on timing and availability.

3.2 No Refunds Policy

ALL TICKET SALES ARE FINAL. NO REFUNDS WILL BE ISSUED FOR ANY REASON, INCLUDING BUT NOT LIMITED TO:

Change of personal plans or schedule conflicts
Inability to attend due to travel issues, illness, or personal circumstances
Dissatisfaction with event content, speakers, or programming
Weather conditions (events are held rain or shine)
Partial attendance or early departure
Failure to meet event requirements (such as proof of age or identification)

3.3 Ticket Transfers

You may transfer your ticket to another eligible individual up to seven (7) days before the event date by contacting us at info@vegancreatorcon.com with the following information:

Original ticket holder's name and order confirmation number
New ticket holder's full legal name
New ticket holder's email address
New ticket holder's phone number

The new ticket holder must meet all eligibility requirements and agree to these Terms. Transfer requests received less than seven days before the event will not be processed. VCC reserves the right to verify the identity of the new ticket holder and refuse transfer requests at our discretion.

3.4 Event Changes and Cancellation

VCC reserves the right to modify event content, schedule, speakers, programming, venue layout, and other aspects of the event without notice. Such modifications do not entitle you to a refund.

If VCC cancels an event entirely and does not reschedule it at the same venue, you will be offered a refund of the ticket face value (excluding any transaction fees, booking fees, or service charges) or a credit toward a future event at VCC's discretion. VCC will not be responsible for any travel, accommodation, or other costs incurred in connection with a canceled or modified event.

If an event is rescheduled or relocated, your ticket will be valid for the new date or location. If you cannot attend the rescheduled event, you may request a refund of the ticket face value within 14 days of the rescheduling announcement.

3.5 Force Majeure

VCC shall not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or orders, terrorism, civil unrest, venue closures, or other similar events ("Force Majeure"). In the event of Force Majeure, VCC may cancel, postpone, or modify the event and will determine in its sole discretion whether refunds or credits will be issued.

4. Community Membership

4.1 Membership Terms

Our Skool community membership is offered on a monthly subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4.2 Membership Cancellation

You may cancel your membership at any time through your Skool account settings or by contacting us at info@vegancreatorcon.com. Cancellation will be effective at the end of your current billing period, and you will retain access until that time. No refunds will be issued for partial months.

4.3 Membership Conduct

As a member, you agree to conduct yourself professionally and respectfully. We reserve the right to terminate membership without refund for violations of our community guidelines, including but not limited to harassment, spam, unauthorized commercial activity, or conduct detrimental to the community.

5. Event Conduct and Rules

5.1 Code of Conduct

All event attendees must comply with our Code of Conduct, which requires respectful, professional behavior toward all participants, speakers, staff, and vendors. Harassment, discrimination, or abusive behavior of any kind will not be tolerated.

5.2 Prohibited Items and Behavior

The following are prohibited at VCC events:

Illegal drugs or controlled substances
Weapons of any kind
Unauthorized recording equipment (professional cameras, audio recorders)
Unauthorized commercial activity, sampling, or distribution
Disruptive, threatening, or violent behavior
Intoxication that interferes with the safety or experience of others

5.3 Removal and Ejection

VCC and venue staff reserve the right to refuse admission or remove any attendee who violates these Terms, the Code of Conduct, venue policies, or whose behavior is deemed disruptive, dangerous, or inappropriate. Removal will result in immediate ticket cancellation without refund, and you may be banned from future events.

5.4 Security and Searches

By attending our events, you consent to reasonable security searches of your person and belongings. If you refuse to consent to such searches, you may be denied entry without refund.

6. Photography, Video, and Media

6.1 Consent to Be Photographed

By attending VCC events, you grant VCC and its authorized representatives the irrevocable right to photograph, film, record, and otherwise capture your image, likeness, voice, and statements during the event. You consent to the use of such materials for any purpose, including promotional, marketing, educational, and commercial purposes, in any medium now known or later developed, without compensation or further approval.

6.2 Your Recording and Content

Personal photography and video for non-commercial purposes are generally permitted at VCC events. However, professional recording equipment requires prior written authorization. Any content you capture at VCC events may not be used for commercial purposes without our written consent.

6.3 Intellectual Property

All content, materials, presentations, and programming at VCC events are protected by copyright and other intellectual property laws. You may not reproduce, distribute, or commercially exploit such materials without written permission.

7. Assumption of Risk and Liability Waiver

7.1 Assumption of Risk

Attendance at VCC events involves inherent risks, including but not limited to exposure to communicable diseases, physical injury, and other hazards. By attending, you voluntarily assume all risks associated with your attendance, whether known or unknown.

7.2 Release and Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE, WAIVE, AND DISCHARGE VCC, VSF CONNECTS INCORPORATED, THEIR OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AGENTS, SPONSORS, VENDORS, AND VENUE OPERATORS (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO YOUR ATTENDANCE AT VCC EVENTS, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, ILLNESS, OR DEATH.

7.3 Limitation of Liability

IN NO EVENT SHALL VCC OR THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR WHETHER VCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VCC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR TICKET OR MEMBERSHIP.

8. Indemnification

You agree to indemnify, defend, and hold harmless VCC and the Released Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your conduct at VCC events, or your violation of any applicable laws or third-party rights.

9. Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

9.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at info@vegancreatorcon.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

9.3 Arbitration

Any dispute arising out of or relating to these Terms or your use of our services that cannot be resolved informally shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. The arbitrator's decision shall be final and binding.

9.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

10. General Provisions

10.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and VCC regarding your use of our services.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

10.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. VCC may assign its rights and obligations without restriction.

10.5 Modifications

VCC reserves the right to modify these Terms at any time. Material changes will be posted on our Site with an updated effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
